These Terms of Service ("Terms") govern your access to and use of the Astate web application and related services ("Astate" or the "Service") provided by Daysun Labs Pte. Ltd.("Daysun Labs", "we", "our", or "us"). By signing up for or using Astate, you agree to these Terms. If you have any questions, write to us at hello@astate.sg.
1. Who can use Astate
Astate is built for licensed real estate professionals operating in Singapore. To use the Service, you must:
- Be at least 18 years old.
- Be authorized to use a WhatsApp Business account associated with your real estate practice.
- Comply with all applicable laws, regulations, and professional standards (including, where applicable, CEA — Council for Estate Agencies — rules).
During Early Access, we may impose additional eligibility criteria or limit availability.
2. Your account
You are responsible for:
- Providing accurate registration information.
- Keeping your login credentials secure.
- All activity that occurs under your account.
You must notify us immediately at hello@astate.sg if you suspect any unauthorized access.
3. Your data, your ownership
You own the content you bring to Astate. This includes your account information, the WhatsApp messages you receive and send through the Service, your draft and final replies, your contacts, your listings, and your edits to AI-generated drafts (collectively, "Your Content").
You grant Daysun Labs a limited, non-exclusive, royalty-free licence to process Your Content only for the purpose of providing the Service to you. This licence:
- Lasts only while you use Astate (and ends when you delete your account).
- Does not allow us to use Your Content to train AI models, sell or share it with third parties, or aggregate it across users.
- Does not grant any rights to other Astate users.
For the avoidance of doubt: your tone learning, your contacts, your listings, and your conversations remain yours and stay isolated to your account.
4. Your responsibilities when handling client data
When you connect a WhatsApp Business number to Astate, your clients' messages flow through our systems. You represent and warrant that:
- You have the legal basis (consent, contract, or other valid ground under applicable law) to process this client data via Astate.
- You will respond to your clients' privacy rights requests as required by law.
- You will not use Astate to send unsolicited messages, spam, or any communication that violates WhatsApp's Business Messaging Policy or Singapore's Spam Control Act.
We process this client data on your behalf as a data processor. See our Privacy Policy for details.
5. Acceptable use
You agree not to:
- Use Astate for any unlawful, fraudulent, or harmful purpose.
- Use Astate to send messages that violate WhatsApp's Business Messaging Policy, including unsolicited marketing, deceptive content, or restricted-category content.
- Attempt to access another user's account or data.
- Reverse engineer, decompile, or attempt to extract the source code of Astate.
- Use Astate to scrape or aggregate property data from third parties in violation of their terms.
- Use the Service to generate or send content that is defamatory, harassing, discriminatory, or that infringes intellectual property rights.
- Resell, sublicense, or white-label the Service without our written agreement.
We may suspend or terminate accounts that violate these rules.
6. AI-generated content
Astate uses a large language model (currently provided by Anthropic; we may rotate providers with notice) to draft suggested replies. You acknowledge that:
- Drafts are suggestions, not final text. You are responsible for reviewing every reply before it is sent.
- AI-generated drafts may occasionally contain inaccuracies. You must verify factual claims (prices, availability, dates, regulations) before sending.
- Astate never sends a message without your explicit action.
You retain full responsibility for the content of any reply you send through Astate, including its compliance with CEA rules, advertising regulations, and consumer protection laws.
7. Service availability and Early Access
During Early Access, the Service is provided free of charge and on an "as is" and "as available" basis. We aim for high availability but do not guarantee uninterrupted service during this period.
We may modify, suspend, or discontinue features at any time during Early Access. We will give you reasonable notice (at least 30 days) before discontinuing features you actively rely on, where practicable.
When we introduce paid plans, we will give you at least 30 days' notice and the option to choose a plan, downgrade, or export your data and leave.
8. Fees (future)
Astate is free during Early Access. When paid plans launch:
- We will publish pricing in advance.
- You will not be auto-charged. You must explicitly subscribe.
- Subscription fees, billing cycles, and refund terms will be set out in the relevant plan.
9. Intellectual property
Astate, including its software, design, branding, and documentation, is owned by Daysun Labs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your real estate business during the period your account is active.
You retain all rights to Your Content (Section 3). Any feedback or suggestions you voluntarily provide to us about the Service may be used by us without restriction or compensation.
10. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only to deliver or use the Service. This obligation survives termination.
11. Beta and disclaimers
To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
We do not warrant that the AI-generated drafts will be accurate, suitable, or compliant with all applicable regulations. You are solely responsible for what you send.
12. Limitation of liability
To the maximum extent permitted by law, Daysun Labs's total cumulative liability arising out of or related to the Service in any 12-month period is limited to the greater of:
- The fees you paid us in that period (which is zero during Early Access), or
- SGD 100.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.
Nothing in these Terms limits liability that cannot be limited by law (such as for fraud or wilful misconduct).
13. Indemnification
You agree to indemnify and hold harmless Daysun Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms or applicable law.
- Your handling of your clients' personal data.
- The content of replies you send through Astate.
14. Termination
You may stop using and delete your account at any time by writing to hello@astate.sg or using the account deletion option in the Service.
We may suspend or terminate your account if you materially breach these Terms or use the Service in a manner that could expose us to legal or reputational risk. Where reasonable, we will give you notice and an opportunity to cure.
On termination, your data will be deleted in accordance with our Privacy Policy. You can export your data at any time before deletion.
15. Governing law and dispute resolution
These Terms are governed by the laws of Singapore. Any dispute will be subject to the exclusive jurisdiction of the courts of Singapore, except that we may seek injunctive relief in any court of competent jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to your registered address at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
17. General
- Entire agreement. These Terms (together with the Privacy Policy and any plan-specific terms) form the entire agreement between you and us regarding the Service.
- Severability. If any provision is found unenforceable, the remainder stays in force.
- No waiver. Our failure to enforce a right does not waive that right.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
